PART I — TERMS OF USE

Article 1 — Purpose

These Terms of Use define the conditions under which users may access this Spiritech3S website, consult its content, and contact Spiritech3S to submit a request or project.

They also define the general principles applicable to commercial relationships initiated through the website.

Submitting a request through the website does not, by itself, constitute a service contract or an obligation for Spiritech3S to accept the project.

Any service subject to a commercial commitment is governed by a quotation, commercial proposal, contract, or other document approved by the parties.

Article 2 — Presentation of activities

Spiritech3S, a brand of Spiritech Service Solution, offers services to companies, professionals, entrepreneurs, and individuals, in Burundi and internationally.

The main areas of expertise presented on the website include:

IT Audit & Maintenance;

Infrastructure & Networks;

Digital Marketing;

Web & App Development;

Energy Continuity;

CCTV Video Surveillance;

Sourcing & Import.

Spiritech3S may also provide advisory, consulting, strategic support, or tailored solutions when the client's needs do not correspond exactly to a standard offer.

Services, deliverables, timelines, prices, responsibilities, and specific conditions are defined according to the needs of the project and specified in the applicable commercial documents.

Article 3 — Project requests and commercial relationships

The Spiritech3S commercial process generally follows these stages:

Request → discussion → needs analysis → proposal/quotation → approval → service delivery.

The information provided by a user enables Spiritech3S to understand the user's needs and, where appropriate, prepare a suitable proposal.

Spiritech3S may request additional information before issuing a quotation or accepting a project.

Approval of a quotation, contract, or commercial proposal constitutes the contractual commitment applicable to the project concerned.

Article 4 — Prices and quotations

Prices are determined according to the nature of the project, its level of complexity, the equipment or services required, its location, and the applicable specific conditions.

Prices are stated in the corresponding quotation or commercial proposal.

For services and orders carried out in Burundi, amounts may be expressed in Burundian francs (BIF).

For international operations, amounts may in particular be expressed in USD, EUR, GBP, CNY, or JPY, according to the nature of the operation and the parties concerned.

Unless otherwise stated in the quotation, a commercial proposal remains valid for the period indicated in it.

Article 5 — Payments

Depending on the options offered for the project concerned, payments may be made by:

bank transfer or deposit;

card payment;

payment service provider;

local mobile money;

any other method agreed between the parties.

Payment terms depend on the nature and risk level of the project.

Depending on the project, Spiritech3S may request:

full payment before work begins;

a deposit before work begins, followed by the balance at a specified stage;

or any other payment schedule specified in the quotation or contract.

No service will be considered definitively commissioned until the starting conditions set out in the applicable commercial document have been met.

Article 6 — Sourcing & Import

As part of the Sourcing & Import service, Spiritech3S may act as an intermediary or agent on behalf of the client.

Depending on the operation, Spiritech3S may in particular handle supplier research, offer comparison, negotiation, verification of available information, purchasing, order tracking, and logistical coordination.

When Spiritech3S acts on behalf of the client, the funds intended for purchasing products belong to the client and are used in accordance with the agreed order or mandate.

International transport may be provided by third-party carriers or logistics providers.

Unless otherwise agreed in writing, transport, insurance, customs, taxes, import duties, and other costs related to shipping the equipment are payable by the client.

When goods are held for customs formalities, any customs clearance charges are also payable by the client.

Spiritech3S may provide assistance or a preliminary assessment regarding import formalities, without replacing customs authorities or carriers.

Delivery times may depend on suppliers, carriers, customs authorities, airlines, and other external parties.

Certain goods may be subject to import, export, air transport, or other regulatory restrictions.

Spiritech3S does not guarantee the shipment or availability of a product when it is subject to a legal or regulatory prohibition or restriction that Spiritech3S cannot reasonably circumvent.

Article 7 — Cancellation and refunds

7.1 Before work begins

When a service has not yet begun, a cancellation may result in a refund in accordance with the conditions set out in the applicable quotation or contract.

Costs already incurred with third parties may be deducted when they cannot be refunded.

7.2 After work begins

Once a tailored service has begun, fees corresponding to work already performed are generally non-refundable.

7.3 Equipment already ordered

When a product or equipment has already been ordered from a supplier, cancellation may no longer be possible, particularly when the supplier does not allow the order to be cancelled or refunded.

7.4 Equipment already shipped

An order that has already been shipped generally can no longer be cancelled.

7.5 Unavailable product

When a supplier is ultimately unable to provide an ordered product, Spiritech3S may propose an alternative or refund the relevant amounts depending on the circumstances and costs already incurred.

7.6 Project abandoned by the client

If a project is abandoned after it has begun, fees corresponding to services already performed, equipment purchases, costs incurred with third parties, and non-recoverable expenses are non-refundable.

When amounts remain available after these costs have been deducted, the balance may be refunded to the client under the agreed conditions.

Article 8 — Timelines and external dependencies

Unless otherwise stated, timelines indicated in quotations or proposals are estimates based on the information available when they are prepared.

Some projects may depend on suppliers, carriers, platforms, public authorities, telecommunications operators, payment service providers, or other third parties.

Spiritech3S cannot be held responsible for a delay directly caused by an event or party outside its reasonable control.

Article 9 — IT, digital, and development services

The specific conditions applicable to development, infrastructure, maintenance, digital marketing, consulting, or other professional services are defined in the applicable quotation, specifications, or contract.

Where necessary, these documents specify in particular:

the scope of the service;

the deliverables;

the timelines;

the responsibilities of the parties;

the approval conditions;

the maintenance conditions;

any warranties or correction periods;

the payment terms;

rights of use and intellectual property rights.

In the absence of a specific provision, Spiritech3S undertakes to provide the services with a reasonable level of professional care, taking into account the nature of the project.

Article 10 — Intellectual property of projects

Unless otherwise provided in a contract or quotation, Spiritech3S retains its methods, tools, frameworks, generic components, templates, libraries, processes, know-how, and pre-existing elements.

When the contract provides for an assignment or a right of use for the benefit of the client, it takes effect under the conditions defined in the applicable contractual document and, where provided, after full payment of the amounts due.

Some products or services may operate under a SaaS or subscription model. In this case, the client receives a right of use for the duration and under the conditions set out in the contract, without any transfer of ownership of the software or infrastructure to Spiritech3S.

Article 11 — Liability

Spiritech3S uses reasonable means to provide services suited to the needs defined with the client.

However, Spiritech3S cannot be held liable for consequences resulting from:

incorrect or incomplete information provided by the client;

improper use of the solutions;

work or modifications performed by a third party;

failure by a supplier or external service provider;

a network, power, or telecommunications interruption independent of Spiritech3S;

an event reasonably beyond its control;

a legal, regulatory, customs, financial, or international restriction applicable to the operation.

Any specific limitations or warranties are set out in the applicable quotation or contract.

Article 12 — International restrictions and regulatory events

Certain international orders or services may be affected by sanctions, trade restrictions, import or export regulations, banking restrictions, transport restrictions, or other measures imposed by the competent authorities.

When performance of an order or service becomes impossible or is substantially affected by a legal or regulatory restriction that Spiritech3S cannot reasonably avoid or legally circumvent, Spiritech3S cannot be held liable for consequences directly related to that restriction.

Where possible, the parties will seek an alternative solution that complies with the applicable regulations.

Article 13 — KYC / KYB and compliance

Spiritech3S may request additional information or documents for certain operations requiring verification of identity, a business, or a transaction.

These checks may in particular be necessary for:

certain financial transactions;

certain international operations;

certain orders or sourcing operations;

relationships with certain suppliers or partners;

administrative, tax, or regulatory obligations;

compliance procedures of financial service providers.

These checks are carried out only when considered necessary in view of the operation concerned or the applicable obligations.

Article 14 — Changes to services and terms

Spiritech3S may change its services, website, and these terms to reflect changes in its activities, tools, offers, or applicable regulations.

The version published on the website is the version in force on the date it is consulted.

Article 15 — Amicable settlement of disputes

In the event of a dispute relating to a service or commercial relationship, the parties will first endeavor to seek an amicable solution.

If no amicable resolution is reached, the dispute may be submitted to the competent courts in accordance with applicable law.

Article 16 — Applicable law

These Terms of Use are governed by Burundian law, subject to any mandatory rules that may apply to certain international operations.

PART II — PRIVACY POLICY

Article 17 — Spiritech3S commitment

Spiritech3S pays particular attention to the protection of personal data.

Data collected through the website and through relationships with clients is processed only for purposes related to operating the website, handling requests, managing commercial relationships, delivering services, and complying with applicable obligations.

Spiritech3S neither sells nor uses its users' personal data for purposes unrelated to those described in this policy.

Personal data is processed in accordance with the legal framework applicable in Burundi, including Law No. 1/03 of March 10, 2026 on the protection of personal data.

Article 18 — Data collected

When you use the contact or project request form, Spiritech3S may collect:

full name;

company name, when provided;

any identifying information provided voluntarily.

Contact data

email address;

telephone number;

WhatsApp number, when provided.

Project data

service requested;

message content;

information relating to the stated need;

files that may be attached to the form.

Commercial relationship data

When you become a client, additional information may be required, in particular to:

prepare a quotation or invoice;

place an order;

organize a delivery;

make a payment;

monitor the project;

meet administrative or tax obligations.

Compliance data

Where necessary, Spiritech3S may request certain information or documents as part of KYC/KYB procedures or other compliance checks.

Article 19 — Purposes of processing

The data collected may be used to:

respond to requests sent through the website;

contact a prospect or client again;

understand and analyze a need;

prepare a commercial proposal or quotation;

provide the requested services;

monitor projects;

manage orders and sourcing operations;

organize delivery and logistics;

manage payments and invoicing;

Article 20 — Data provided voluntarily

Information submitted through the form is provided voluntarily by the user.

Attached files should be limited to information genuinely necessary to understand the project.

Article 21 — Service providers and recipients

Spiritech3S may use technical or commercial service providers required for its activities.

payment service providers;

banks or financial institutions;

carriers and logistics partners;

Spiritech3S does not sell its users' personal data.

Article 22 — International processing and transfers

Access to data is limited to people and service providers who require it as part of their duties or services.

Because no information system can guarantee absolute security, Spiritech3S cannot guarantee the complete absence of risk associated with the use of the Internet or information systems.

Article 24 — Data retention

Spiritech3S retains data for a period proportionate to its purpose.

Contact requests and prospect information may be retained for the time required to process them and follow up commercially.

Data relating to a contractual relationship may be retained for the duration of that relationship and then for the period required to comply with legal, accounting, or tax obligations or to defend the rights of Spiritech3S.

Compliance documents may be retained for the period required by the obligations or procedures that justified their collection.

When data is no longer required, it may be deleted or anonymized, subject to applicable legal obligations.

Article 25 — Audience measurement and similar technologies

Article 28 — Sensitive data and KYC/KYB documents

When Spiritech3S requests identification documents or other compliance information, they must be sent only through the channels specified by Spiritech3S.

Spiritech3S does not request such information through the landing page's standard contact form unless explicitly stated.

Information collected as part of a KYC/KYB procedure is used only for the purposes that justified its collection and in accordance with applicable obligations.

Article 29 — Changes to this policy

This policy may be updated to reflect changes in Spiritech3S activities, the services offered, its technical environment, or applicable regulations.

The date of the latest update is stated at the top of this document.
